1. Agreement to Terms
These Terms of Use ("Terms") form a legal agreement between you ("you" or "user") and PharosLife, Inc. ("PharosLife," "we," "us," or "our") governing your access to and use of:
- The PharosLife website, https://www.mypharoslife.com/ (the "Site")
- The PharosLife platform and applications
- Any related services, tools, or features.
The above are hereinafter referred to, collectively, as the "Services".
By accessing or using the Services, you agree to be bound by these Terms. Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference.
YOU ACKNOWLEDGE AND AGREE THAT, BY ACCESSING OR USING THE SITE OR SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, AND THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS.
If you do not agree, you should not continue to access the Site or use the Services.
2. Eligibility
To use PharosLife, you must:
- Be at least 18 years old
- Reside in the United States
- Have the legal capacity to enter into a binding agreement
You represent that all information you provide is accurate and current, and that you have the legal capacity and/or authorization to share it with us.
3. Nature of the Services (Important)
PharosLife is a guidance and organization platform, designed to help individuals and families:
- Plan and organize life information
- Prepare for major life events
- Navigate logistical and operational tasks during times of change or loss
PharosLife Does NOT:
- Access or control financial accounts
- Execute transactions on your behalf
- Provide legal, financial, tax, medical, or professional advice
- Replace professionals such as attorneys, financial advisors, or estate planners, or substitute for their judgment
All information provided through the platform is for general information purposes only and does not constitute legal, financial, tax, medical, or other professional advice.
4. Your Use of the Platform
You may use PharosLife to:
- Create personal or family profiles
- Organize life information across categories
- Generate and track tasks, workflows, and checklists
- Delegate access or visibility (if enabled)
You agree you will:
- Provide accurate and truthful information
- Use the platform for lawful purposes only
- Not misuse, copy, or disrupt the Services
- Never use PharosLife as a substitute for or substantial factor in making a consequential decision, including, but not limited to, decisions related to legal, financial, tax, or medical advice
- Not knowingly collect or share with PharosLife personal information from children under 13 years of age without appropriate prior verifiable parental consent in accordance with applicable law
5. Profiles, Delegation & Permissions
PharosLife allows you to:
- Create profiles for yourself or others (e.g., parent, spouse, dependent)
- Assign roles, permissions, or visibility
You are responsible for:
- Ensuring you have obtained explicit, informed consent from any third party prior to inputting or managing their personal information through the platform
- Managing access permissions appropriately
PharosLife is not responsible for disputes arising from shared access or delegation.
6. Data Sensitivity (Beta Scope)
PharosLife is designed to minimize risk.
You agree not to upload or store highly sensitive information, including:
- Social Security numbers
- Full financial account numbers
- Passwords or login credentials
We may invite you to try beta, pilot, or limited release features ("Beta Services"). By using any Beta Services, you agree that (a) Beta Services are not intended for commercial usage, may be modified or discontinued at any time, may contain bugs or errors, and are not subject to uptime, support, or other service level commitments; and (b) you will provide timely feedback to PharosLife and only use the Beta Services for the purpose of providing such feedback. PharosLife may introduce additional features in the future, but in the Beta stage, the platform is intended for structured guidance and life planning, not sensitive data storage. Users who store prohibited data do so in violation of these Terms and PharosLife disclaims all liability arising from such use.
7. AI & Guidance Disclaimer
PharosLife may use artificial intelligence to generate:
- Suggested actions
- Checklists
- Educational or planning guidance
You acknowledge that:
- Outputs are based on general information and patterns
- They may not be complete, accurate, or applicable to your situation
- They are not a substitute for professional advice
You are solely responsible for decisions you make based on the Services. Guidance provided through the Services is for general information purposes only and not a substitute for qualified legal, financial, tax, medical, or other professional advice and should not be relied upon as such. Users are solely responsible for obtaining qualified professional advice before acting on any guidance provided through the platform.
PharosLife may introduce AI-powered features in the future. Any such feature will be subject to updated terms and disclosures provided at that time.
8. Communications
By using the Services, you agree that we may contact you via:
- Platform notifications
These communications may include account updates, product updates, and service-related notices. You may opt out of non-essential communications.
9. Third-Party Services
PharosLife may rely on third-party providers (e.g., hosting, analytics, payments such as Stripe).
We are not responsible for:
- The performance of third-party services
- Their privacy or security practices
Use of third-party services is subject to their respective terms.
10. Intellectual Property
All content and materials provided through PharosLife — including design, frameworks, workflows, and software — are owned by PharosLife or its licensors.
You may not:
- Copy, reproduce, or distribute content
- Reverse engineer or exploit the platform
11. Feedback and Reporting Misconduct
We welcome and encourage you to provide feedback, comments and suggestions (collectively "Feedback") for improvements to the Site and PharosLife's Services. You may submit feedback by emailing us at info@pharoslife.com. You acknowledge and agree that all Feedback will be the sole and exclusive property of PharosLife and you hereby irrevocably assign to PharosLife and agree to irrevocably assign to PharosLife all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent, copyright, trade secret, moral and other proprietary or intellectual property rights therein. At PharosLife's request and expense, you will execute documents and take such further acts as PharosLife may reasonably request to assist PharosLife to acquire, perfect, and maintain its intellectual property rights and other legal protections for the Feedback.
12. Service Availability
PharosLife is an evolving platform. We may modify features, add or remove functionality, or interrupt or discontinue services. We do not guarantee continuous availability or error-free operation. PharosLife shall not be liable for any interruption, delay, or failure to perform resulting from causes outside its reasonable control, including without limitation acts of God, natural disasters, government actions, internet or infrastructure outages, or other causes beyond PharosLife's reasonable control.
13. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. PharosLife makes no guarantees regarding accuracy of content, completeness of guidance, or availability or reliability of the platform.
14. Limitation of Liability
To the fullest extent permitted by law, PharosLife is not liable for:
- Financial loss
- Missed deadlines or obligations
- Decisions made using the platform
- Outcomes related to life events
PharosLife is designed to reduce complexity — not eliminate all risk.
YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SITE OR SERVICES REMAINS WITH YOU. NEITHER PHAROSLIFE NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SITE OR ANY SERVICES WILL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, FROM THE USE OF OR INABILITY TO USE THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PHAROSLIFE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. NOTWITHSTANDING THE FOREGOING, TO THE EXTENT PERMITTED BY LAW, PHAROSLIFE'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID DIRECTLY TO PHAROSLIFE FOR USE OF THE SERVICES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN LIABILITIES, SO SOME OR ALL OF THIS SECTION MAY NOT APPLY TO YOU.
15. Indemnification
You agree to release, indemnify, defend, and hold harmless PharosLife and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) your access to or use of the Services, or your violation of these Terms; (b) your reliance on the Services; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; (d) your unauthorized input of third-party personal data into the Services; and (e) any claim that your use of the Services caused damage to a third party.
16. Termination
We may, in our sole discretion, with or without cause, and without prior notice or liability to you, suspend or terminate your access to the Services at any time, including without limitation.
17. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide written notice to the email address associated with your account, or via a prominent notice on the platform. Your continued use of the Services following the notice period constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services before the effective date of the changes.
18. Governing Law, Jurisdiction, and Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services shall be brought in a court in Delaware and subject to the exclusive jurisdiction of Delaware, and you consent to personal jurisdiction therein.
Notice to California Residents. If you are a California resident, under California Civil Code §1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210 in order to resolve a complaint regarding the Site or to receive further information regarding use of the Site.
19. Class Action Waiver
YOU AND PHAROSLIFE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
20. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
